INTRODUCTION
Welcome to pixelpad!
These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at https://pixelpad.in/ (together or individually “Service”) operated by pixelpad.
Product Images/Information:
On an ongoing basis, you will provide us, free of charge, all current Product information, including images and any Product information or warnings required by law to be disclosed in any sale or advertisement of the Product. Product Information also includes any Product information made available to us by you (or by a third party at your direction). You grant us a non-exclusive, worldwide, perpetual, irrevocable and royalty-free license to:
(a) use, copy, display, perform, and distribute the Product Information on or in
connection with any online or offline point of presence
(b) sublicense any of the foregoing rights to third parties in connection with our programs or services (for example, to advertise your Products).You will promptly provide all information regarding safety, compliance, industry standards to your Products (“Product Safety Information”) that we reasonably request.
SCOPE OF ENGAGEMENT : The Vendor will supply the following services or either one of them to the client, pursuant to the terms of this vendor agreement: Digital Painting, Mosaic Art, Creative Collage, Cartoon Art, Video Invites, Wedding Card Invites, Wall Decor Art, The Missing Person/Re-union Art, Pencil art, Photo restoration, Hand painting
Payment Terms : As of now, Pixelpad charges Closing Fee (20% fee on total order amount for every order placed) as platform charges. The Vendor will deal directly with the Client’s accounts payable department regarding all payments.
Representation : The Vendor hereby represents that they have the expertise, knowledge and experience needed to provide services outlined in this vendor agreement.
Liability and Indemnification : The Vendor shall indemnify, defend, and hold the Client and its representatives harmless for any loss or damage. Furthermore, the Client agrees to hold the Vendor harmless against any loss or damage, save in cases of gross misconduct or negligence by the Vendor or its representatives.
Independent Contractor : The Vendor shall be considered an independent contractor. This vendor agreement does not establish an employer/employee relationship between the Client and Vendor, and no such agreement shall be established at any time.
Termination : Either party may terminate this vendor agreement by providing written notice to the opposite party within 10 days of the termination requested date. Upon this vendor agreement’s termination, all unpaid debts up to the point of termination will be due to the Vendor within 10 days.
Notices : Any and all notification with regard to this vendor agreement shall be sent via certified mail.
Shipping : The parties will agree which party is responsible for managing and shipping. Vendor need to take care of packaging, and they can purchase Pixelpad packaging material if they want. Vendor will have to deliver the products themselves, where you can use third party courier services or your own delivery associates.
Confidential Information;Publicity: Protect and not disclose information that is identified as confidential or that reasonably should be considered confidential to us;
Dispute Resolution : You and we each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.
